사모펀드의 가맹사업에의 투자 : 쟁점과 과제
전 세계적으로 사모펀드의 가맹사업에의 투자가 갈수록 늘고 있다. 사모펀드의 프랜차이즈 인수는 해 당 프랜차이즈 시스템과 프랜차이즈 산업의 발전에 긍정적 효과와 부정적 효과를 함께 가지고 있다. 그 러나 사모펀드의 경영 참여에 대한 언론이나 가맹점사업자의 평가는 대체로 부정적이다. 본 연구가 관심 을 가지고 있는 연구문제는 크게 세 가지로, 여기에는 1)사모펀드의 프랜차이즈 인수가 프랜차이즈 시스 템의 소유 및 지배구조와 경영전략에 어떠한 변화를 가져오는지, 2)이러한 변화가 이해관계자, 특히 가맹 점사업자에게 어떤 영향을 미치는지, 3) 성공적인 사업전개를 위해 어떤 사전적/사후적 조치가 필요한지 에 대한 논의가 포함된다. 본 연구는 사모펀드의 가맹사업 투자에 대한 이해를 돕기 위해 1)사모펀드의 의의, 현황 및 추세, 기능을 살펴보고 있으며, 2) 가맹사업에 대한 사모펀드의 투자 현실과 이와 관련하여 제기되고 있는 핵심쟁점을 파악하고 평가하는 한편, 3) 관련 이론과 경험적 근거를 토대로 사모펀드의 가맹사업에의 투자와 관련하여 제기되고 문제를 개선하기 위한 몇 가지 방안을 제시하고 있다. 주요 제 언으로 본 연구는 사모펀드와 인수 관련 정보를 가맹점사업자에게 투명하게 공개하고 그 방안의 하나로 인수과정에 가맹점사업자나 이들의 단체를 참여시키는 한편, 소유와 경영을 분리하여 전문경영인에게 시스템 운영을 맡기는 방안을 권고하고 있다. 인수 후 시스템 운영과 관련하여서는 사업파트너로서 가맹 점사업자의 역할을 존중하고, 의사결정과정에 가맹점사업자로 구성된 자문위원회나 가맹점사업자협회를 의사결정과정에 참여시킬 것을 제안하고 있다. 또한 일반적으로 사모펀드가 추구하는 단기주의 경영의 폐해를 방지하기 위해 가맹본부의 경영진 스스로 이를 지양하고 보다 투명하게 시스템을 운영하여야 한다는 지적과 함께, 불법적이거나 편법적인 경영을 규제당국이 철저하게 감시·감독하여야 한다고 지적하고 있다.

Private Equity Investments in Franchise Businesses - Issues and Challenges
Private equity funds are increasingly investing in franchise businesses around the world. The acquisition of a franchise by a private equity fund has both positive and negative effects on the development of the franchise system and the franchising industry. However, media and franchisee evaluations of private equity management involvement are generally negative. There are three main research questions of interest in this study, including 1) how the acquisition of a franchise by a private equity fund changes the ownership and governance structure and management strategy of the franchise system, 2) how these changes affect stakeholders, especially franchisees, and 3) what proactive and follow-up measures are needed for successful business development. To help understand private equity fund investment in franchising, this study 1)examines the significance, status, trends and functions of private equity funds, 2)identifies and evaluates the reality of private equity investment in franchise businesses and the key issues raised in this regard, and 3)based on related theories and empirical evidence, presents several measures to improve the issues raised in relation to private equity fund investment practices. As an important suggestion, this study recommends transparent disclosure of acquisition-related information to the target franchisor's franchisees or their organizations regarding the ownership and management of the system, while entrusting the system operation to professional managers. With respect to the post-acquisition operation of the system, it is suggested that the franchisees' role as business partners be respected and that the franchisee advisory committee or franchisee association be involved in the decision-making process. In addition, in order to prevent the negative effects of short-termism, which is generally pursued by private equity funds, it is pointed out that the managers of franchise headquarters should avoid this and operate the system more transparently, and that the regulatory authorities should thoroughly monitor and supervise illegal and/or expedient business practices.
